Sorei Media Group, LLC (“Sorei,” “we,” “our,” or “us”) provides AI development, consulting, and software services (the “Services”) to clients and users (“you” or “Client”). By accessing or using our Services, you agree to be bound by the following Terms of Service (“Terms”). Please read these Terms carefully.

Sorei provides AI solutions including but not limited to:

• Custom AI model development (LLM fine-tuning, generative AI, predictive analytics)
   
• Agentic AI and autonomous workflow solutions
   
• Data engineering, computer vision, and NLP services
   
• Consulting, AI strategy, and implementation support
   

Sorei reserves the right to modify, suspend, or discontinue any Service at any time without notice.

•  You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
   
• You will not use the Services to create, deploy, or distribute AI systems that violate laws, infringe on intellectual property, or generate harmful or illegal content.
   
• You acknowledge that AI outputs may contain inaccuracies, and Sorei is not responsible for decisions made based solely on AI outputs.

•  Provide accurate and complete information necessary for Sorei to deliver Services.
   
• Ensure all data provided complies with privacy, security, and regulatory requirements, including HIPAA, GDPR, or other applicable regulations.
   
• Maintain security of credentials, API keys, and access to AI systems provided by Sorei.

•  Sorei retains all rights, title, and interest in proprietary software, models, algorithms, tools, and methodologies developed prior to or during the engagement, unless otherwise agreed in writing.
   
• Clients retain ownership of their data. AI models trained on client-provided data may be subject to agreed licensing terms.
   
• You may not copy, reverse engineer, or redistribute any proprietary Sorei technology without prior written consent.

• Both parties agree to protect confidential information shared during the engagement.
   
• Confidential information includes trade secrets, technical data, and business strategies, but does not include publicly available information.
   
• These obligations continue after termination of the Services.

• Sorei provides Services “as is” and makes no warranties regarding accuracy, reliability, or fitness for a particular purpose.
   
• AI-generated outputs are probabilistic and may contain errors.
   
• Sorei does not guarantee that AI systems will be free from defects, vulnerabilities, or interruptions.

• To the fullest extent permitted by law, Sorei is not liable for indirect, incidental, consequential, or punitive damages arising from the use of the Services.
   
• Total liability for any claim arising out of the Services is limited to the fees paid by you for the applicable Services.

You agree to indemnify, defend, and hold harmless Sorei, its officers, employees, and affiliates from any claims, damages, or losses arising from:

• Your use of the Services
   
• Violation of these Terms
   
• Breach of applicable laws or third-party rights

• Either party may terminate Services upon written notice.
   
• Upon termination, all outstanding fees are immediately due.
   
• Sorei may suspend or terminate Services for violations of these Terms or applicable law.

These Terms are governed by the laws of the State of North Carolina, without regard to conflicts of law principles. Any disputes must be resolved in the state or federal courts located in United States of America.

Sorei may update these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of Services constitutes acceptance of the updated Terms.
